Terms of Service

These Terms of Service set out the basis on which Basenine provides hosted business systems, software configuration, workflow automation, database services, integrations and related technology services.

By registering for, accessing or using a Basenine service, you agree to these Terms. If you are using the service on behalf of a business or organisation, you confirm that you have authority to accept these Terms on its behalf.

1. Definitions

In these Terms, “Basenine”, “we”, “us” or “our” means Basenine. “Service” means any hosted business management system, website, database, portal, automation, integration or related service provided by Basenine. “Subscriber”, “you” or “your” means the person, business or organisation using the Service.

2. Use of the Service

You agree to use the Service lawfully, responsibly and in a manner consistent with these Terms. You are responsible for all activity that occurs under your account, including any activity by staff, contractors, customers or other users you authorise.

You must not use the Service to store, publish, transmit or process material that is unlawful, misleading, defamatory, abusive, malicious, infringing or otherwise harmful. You must not attempt to interfere with the security, reliability or operation of the Service.

3. Subscriber data and conduct

You are solely responsible for the data, records, documents, files and other content entered into or uploaded to your account. Basenine acts as a service provider and storage conduit for that data, unless otherwise agreed in writing.

You are responsible for ensuring that the information you enter into the Service is accurate, lawful, appropriately authorised and suitable for your business use.

4. Privacy and confidentiality

Basenine treats registration data, client records and database content as private and confidential. We do not sell your data.

We will not intentionally monitor, disclose or access your data except where reasonably necessary to provide support, maintain or improve the Service, investigate misuse, protect security, comply with law, or as otherwise authorised by you.

Our handling of personal information is also governed by our Privacy Policy.

5. Security, hosting and reliability

Basenine uses practical security measures designed to protect the Service and the data held within it. This may include encrypted connections, access controls, hosted infrastructure, backups, software updates and other operational safeguards.

Some services may rely on third-party platforms, hosting providers, database providers, payment processors, email providers, automation tools or other technology services. Basenine will take reasonable care in selecting and configuring those services, but we cannot guarantee uninterrupted or error-free operation of any internet-based system.

6. Account access and unauthorised use

You are responsible for keeping usernames, passwords, access links and other login details secure. You must notify Basenine promptly if you become aware of unauthorised access or a suspected security issue involving your account.

Basenine is not responsible for loss or damage caused by unauthorised use of your account where that use results from your failure to maintain reasonable account security.

7. Commercial use and resale

Unless expressly agreed in writing, you must not resell, sublicense, lease, copy or make commercial use of the Service for the benefit of third parties outside your own business operations.

8. Documents, templates and sample materials

Any printable documents, forms, templates, reports or sample materials provided through the Service are supplied as operational aids only. They are not legal, financial, tax, compliance or professional advice.

You are responsible for reviewing and approving any documents used by your business, including warranty forms, care guides, account contracts, quotes, invoices, terms, conditions or customer-facing materials. You should obtain professional advice where required.

9. Payments and subscriptions

Basenine services may be offered as prepaid hosted service subscriptions, fixed-price projects, recurring support arrangements, revenue-share arrangements or other pricing models agreed with you in writing.

Where a subscription applies, you agree to make payments on time. Unless otherwise agreed, there is no sign-up fee, no fixed-term contract and no cancellation fee.

Basenine may suspend or restrict access to the Service if payment is overdue and no suitable payment arrangement has been made.

If you cancel a prepaid subscription, Basenine may refund any unused portion of your prepaid balance in monthly increments, unless a different arrangement has been agreed in writing.

10. Pricing changes

Basenine aims to keep pricing stable and predictable. Subscription rates may increase periodically, including in line with CPI, supplier cost changes, hosting costs, platform costs, additional usage or changes to the scope of services provided.

Where practical, Basenine will provide reasonable notice of pricing changes before they take effect.

11. Data storage

Basenine may provide generous or unlimited practical storage for ordinary business use, depending on the service arrangement. This does not permit unreasonable, abusive, excessive or unrelated storage use.

Basenine may apply fair-use limits or require a separate storage arrangement if your usage materially exceeds normal business requirements or affects performance, reliability or cost.

12. Term and cancellation

These Terms apply for as long as you access or use the Service. You may cancel your Service at any time, with or without cause, unless a separate written agreement states otherwise.

Basenine may suspend or terminate access if you breach these Terms, fail to pay amounts when due, misuse the Service, create a security risk, or use the Service unlawfully.

13. Service changes and maintenance

Basenine may update, improve, modify, suspend or discontinue parts of the Service from time to time. We may also perform maintenance, updates, backups or security work that temporarily affects availability.

We will aim to minimise disruption where practical.

14. Disclaimer of warranties

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Basenine disclaims warranties of any kind, whether express, implied or statutory, including warranties of fitness for a particular purpose, merchantability, uninterrupted access, error-free operation or complete data accuracy.

Internet-based services may be subject to limitations, delays, outages and other problems inherent in electronic communications and third-party technology platforms.

15. Limitation of liability

To the maximum extent permitted by law, Basenine is not liable for indirect, incidental, special, consequential or punitive loss, including loss of profit, loss of revenue, business interruption, loss of goodwill, loss of data or loss arising from delays, delivery failures, internet issues or third-party service failures.

Where liability cannot be excluded, Basenine’s liability is limited, at our option, to the resupply of the Service or the amount paid by you for the affected Service during the period to which the issue relates.

Your primary remedy if you are not satisfied with the Service is to stop using the Service and cancel your subscription or service arrangement.

16. Indemnity

You agree to indemnify Basenine and its representatives from and against claims, losses, liabilities, damages, costs and expenses arising from your misuse of the Service, your breach of these Terms, your data or content, or your violation of any law or third-party right.

17. Australian Consumer Law

Nothing in these Terms excludes, restricts or modifies any rights, guarantees or remedies that cannot be excluded under the Australian Consumer Law or other applicable legislation.

18. Changes to these Terms

Basenine may update these Terms from time to time. The updated version will be posted on this website. Continued use of the Service after the updated Terms are published means you accept the updated Terms.
